Terms and Conditions Limited Single User License Agreement Access to the subscription products located at BVResources.com, BVMarketData.com, BVLibrary.com and BVRLegal.com is contingent upon your agreement to all of the following terms. Please carefully read this entire page. This is a legal agreement and your consent to these terms will be binding on you, your employer, and your fellow employees. If you do NOT wish to consent to one or more of these terms, click on "I Do Not Agree". By clicking on "I Agree", you are consenting to be bound by this Limited Single User License Agreement and Limitation of Warranty. You agree that you may NOT, and may NOT permit others to, transmit electronically, download electronically or in hard copy, post to a database or to the Internet, or otherwise reproduce in any fashion any portion of BVResources.com, BVMarketData.com, BVLibrary.com and BVRLegal.com except as expressly authorized in the next paragraph of this Limited Single User License Agreement. You, as the Single User, are authorized to download into electronic storage and to print hard copies of a reasonable number of pages. You agree that you will NOT attempt to download, either in electronic or in hard-copy format, our entire site or any substantial portion of it. You agree that the User ID and Password you use to enter the subscription areas of BVR's Web sites are to be used only by you. The use of your User ID and Password by other individuals is a violation of this Limited Single User License Agreement. Multi-User and Multi-Site License Agreement information is available by contacting BVR. BVR maintains these sites for your personal education, information, communication, and entertainment. Please feel free to browse the sites. You may download material displayed on the sites for noncommercial, personal use only, provided you also retain all copyright and other proprietary notices contained on the materials. You may NOT, however, distribute, modify, transmit, reuse, re-post, resell, or use the content of the sites for public or commercial purposes, including the text, images, audio, and video without the written permission of BVR, EXCEPT that you may use data from BVMarketData.com transactions (except Valuation Advisors' Lack of Marketability Discount Study™ transactions, which are subject to a unique single user license agreement), quote text from the Economic Outlook Update™ reports, and use information from BVLibrary.com in conjunction with a valuation report, whether written or oral, prepared by you for a client. This includes such use to support a valuation report in deposition or trial testimony. You agree that any and all disputes arising in connection with the terms of this Limited Single User License Agreement and Limitation of Warranty shall be resolved under and construed according to the law of Oregon, exclusive of its choice of law principles. You further agree that any such proceedings may be brought only in the state or federal courts of Oregon and that you will submit to the jurisdiction of said courts. BVR may at any time revise this Limited Single User License Agreement. If BVR revises this Limited Single User License Agreement, you will be required to agree or disagree with the revised version before you will be permitted access to the product again. If you agree to the revised Limited Single User License Agreement by clicking on the "I Agree" button, you will then be bound by its terms and conditions. If you don't agree to the revised Limited Single User License Agreement by clicking on the "I Do Not Agree" button, your subscription to the product will be canceled and you will receive a prorated refund for the unused portion of your subscription to the product. Version 1.A Limitation of Warranty You accept the following Limitation of Warranty: WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR YOUR PARTICULAR PURPOSES. WE WILL NOT BE LIABLE FOR ANY DAMAGE OR LOSS OF ANY KIND ARISING OUT OF OR RESULTING FROM YOUR POSSESSION, ACCESS, OR USE OF BVResources.com, BVMarketData.com, BVLibrary.com and BVRLegal.com, OR THEIR AFFILIATED PRODUCTS INCLUDING, BUT NOT LIMITED TO, LIABILITY ARISING FROM YOUR RELIANCE ON THE CONTENTS OF BVResources.com, BVMarketData.com, BVLibrary.com and BVRLegal.com OR AFFILIATED SITES, ERRORS IN THE DATA, AND DATA LOSS OR CORRUPTION, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED IN TORT, CONTRACT, OR OTHERWISE. IF THE FOREGOING LIMITATION IS HELD TO BE UNENFORCEABLE, OUR MAXIMUM LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT OF THE FEES EARNED BY US FROM YOU SUBSEQUENT TO YOUR ENTERING INTO THIS AGREEMENT. THE REMEDIES AVAILABLE TO YOU AGAINST US UNDER THIS AGREEMENT ARE EXCLUSIVE. NOTE THAT SOME STATES DO NOT PERMIT LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. CERTAIN OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. BVR may at any time revise this Limitation of Warranty.
